Terms of Service

These Terms of Service govern access to and use of BannerAI, a software service provided by Vruxsol ("we", "us" or "our"). By creating an account, using the service, or purchasing impression credits, you agree to these Terms.
1. The service
BannerAI helps customers create, target, deliver, measure and optimize banner campaigns across websites and supported mobile applications. Features may include audience rules, behavioral retargeting, frequency controls, analytics, conversion tracking, campaign diagnostics and software development kits.
2. Accounts and authority
You must provide accurate account information and keep credentials secure. If you use BannerAI for an organization, you represent that you have authority to act for that organization. You are responsible for activity performed through your workspace and for users you invite.
3. Customer content and campaigns
You retain responsibility for banners, destination links, targeting rules, custom attributes, campaign claims and other content you submit. You must have all rights, notices and permissions needed to collect and use data that you send to BannerAI and to display your campaigns to end users.
4. Impression credits and billing
BannerAI may use impression-based prepaid credits. A billable impression is consumed when the service records an accepted campaign impression in accordance with the serving and duplicate-protection logic. Pricing, minimum top-up amounts and applicable taxes are shown before payment. Purchased credits are not currency, do not earn interest and cannot be transferred between unrelated customers unless we expressly allow it.
5. Payments
Payments may be processed by third-party payment providers such as Razorpay. Their payment terms, supported payment methods, card-network rules and fraud controls may also apply. We do not store full card numbers or card security codes.
6. Refunds and cancellations
Refund eligibility is governed by our Refund & Cancellation Policy. Consumed impression credits are ordinarily non-refundable because campaign delivery is a digitally consumed service.
7. Acceptable use
You must comply with our Acceptable Use Policy. We may suspend delivery where we reasonably believe use is unlawful, fraudulent, harmful, abusive, technically unsafe, or likely to create risk for BannerAI, our infrastructure, payment providers or third parties.
8. Data protection
Our handling of personal information is described in the Privacy Policy. Where we process end-user data on behalf of a customer, the Data Processing Addendum describes the general processor/service-provider terms available for the service.
9. Service changes and availability
We may improve, modify or discontinue features. We aim to operate the service reliably but do not guarantee uninterrupted availability. Planned maintenance, third-party outages, internet failures, customer integrations and force-majeure events may affect service.
10. Intellectual property
BannerAI and its software, branding, interfaces, documentation and underlying technology are owned by us or our licensors. Except for the limited right to use the service under these Terms, no ownership rights are transferred to you.
11. Customer feedback
If you provide suggestions or feedback, you permit us to use them to improve BannerAI without restriction or payment, provided we do not publicly attribute confidential feedback to you without permission.
12. Suspension and termination
You may stop using BannerAI at any time. We may suspend or terminate access for material breach, fraud, unlawful activity, payment abuse, security risk or prolonged non-payment. Where reasonably possible, we will provide notice and an opportunity to cure a remediable issue.
13. Disclaimers
BannerAI is a marketing technology tool. We do not guarantee a particular number of leads, conversions, revenue, campaign performance or business outcome. Campaign results depend on your traffic, audience, offer, creative, implementation and other factors outside our control.
14. Limitation of liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, punitive or consequential damages, or loss of profits, goodwill or data, arising from the service. Any mandatory rights that cannot legally be excluded remain unaffected.
15. Governing terms
These Terms are governed by the laws applicable to India, subject to any non-waivable consumer or data-protection rights that apply to you. Disputes should first be raised through our contact or grievance channels.
